In the State of Vermont, the Vermont Secretary of State maintains a
number of important business records that are matters of public record
and can be accessed by anyone. Much of this information is available to
be searched and reviewed over the internet. Here are some tips on how to
access this information via the internet.
What Records Are Maintained by the Vermont Secretary of State?
In the State of Vermont, when a corporation or similar business entity
is formed, it is required to file documentation with the Vermont
Secretary of State. These business entities must also file periodic
updates and notification of any changes. A great deal of information
from these records may be reviewed online.
When searching the Vermont Secretary of State website for business
entity information, it should be remembered that not all businesses
located in Vermont are incorporated under the laws of the State of
Vermont. Some businesses do not incorporate, and some businesses elect
to incorporate in a different state to take advantage of that state�s
laws.
Some businesses also register tradenames under which they do business,
even if these names are not the official name of the business. These
names can be registered with the Secretary of State. Additionally, some
businesses may reserve a name under which to do business, even if the
business is not yet actively doing business within the state.
How Can I Search for Records Maintained by the Vermont Secretary of
State?
To search for business records online for the State of Vermont, begin at
http://www.sec.state.vt.us/, the website of the Vermont Secretary of
State. Then select the option marked �Corporations� on the left side of
the screen. You will be taken to a page entitled �Corporations.�
To search for Vermont business entities, from the Corporations page,
select the option �Search Corps Database� from the left side of the
screen near the bottom of the page. This will take you to a page
entitled �Corporation Browse Search,� where you may enter all or part of
the business entity name for which you wish to search. Since precise
spelling is important, you may wish only to enter the first few letters
of the business name. This search will return all business names with
those beginning letters, and decreases the chance of failing to locate
the business in question due to a misspelling. Capitalization is
unimportant.
After entering your search information, select the button marked
�Retrieve Information.� This will take you to a page containing a list
of search results that match your search criteria. The list will be
divided by type of search result, under the headings �Corporation
Records,� �Tradename Records,� �Limited Liability Companies,�
�Partnerships,� �Reservation Records� and �Registration Records.�
Clicking on any of these names will take you to a page dedicated to that
business entity, providing additional information including the
corporate status, file number, type, incorporation date, state of
incorporation, month ending the fiscal year, registered agent, address.
officers, and date of termination if any.
To search for individuals associated with Vermont businesses, from the
Corporations page, select the option �Individual Person Search� from the
left side of the screen near the bottom of the page. This will take you
to a search page which includes windows to input the last and first name
of the individual in question. It is sufficient to enter the last name
only. Then select �Retrieve Information.� This will return a list of
names matching the search terms. Select the name for which you wish to
return additional information, and again select �Retrieve Information.�
This will return a page dedicated to a business entity with which that
individual is associated.
