In Tennessee, important business records are maintained by the Tennessee
Secretary of State. A great deal of relevant information is available
for viewing over the internet. Here are a few tips to assist you in an
online search of Tennessee business information.
What Records Are Maintained by the Tennessee Secretary of State?
When corporations and similar business entities are formed,
documentation is filed with the Secretary of State�s office to make the
incorporation official. These documents are maintained for public
viewing. Although the documents themselves may not be viewed over the
internet, a great deal of information from the files is made available
for public search online.
Additionally, the Secretary of State maintains UCC (Uniform Commercial
Code) filings. These documents record security interests that one party
may have in another party�s collateral.
How Can I Search for Records Maintained by the Tennessee Secretary of
State?
To search for business records maintained by the Secretary of State of
Tennessee, visit the Secretary of State�s website, located at
http://www.state.tn.us/sos/ .
Then Select the option marked �Business Services� to go to the Division
of Business Services page.
To search for information about a Tennessee business, from the Division
of Business Services page, select the option �Business Information
Search� from the options at the left. You will be taken to a page where
you may enter your search terms to locate the business name. You may
also select a radio button to identify whether the search terms
represent the beginning of the business name or a part of the business
name. Select the last radio button, �Search using �Secretary of State
Control Number�� if you already know the identification number of the
business for which you wish to search. In this event, enter the umber
rather than the business name in the search window. After you have
entered the search criteria, select the button marked �Submit Search.�
The results will be returned in a list, including the business name,
business ID number, type and status. Additionally, a button marked
�Details� is located next to each business entity on the list to enable
you to view additional information about that business entity. This
additional information will include whether the business is for profit
or nonprofit, the date of formation, whether it is a domestic or foreign
entity, the place of incorporation or organization, the duration and
month of fiscal year closing. You will also be able to view the address
of the business and information about the registered agent. Clicking on
the button marked �Business Filing History� will allow you to view a
list of documents filed in conjunction with that business entity.
To search for a business name in order to check name availability, from
the Division of Business Services page, select the option �Business Name
Availability Search� from the options at the left. You will be taken to
a page where you can enter the name or part of the name for which you
wish to search, and also select whether the search terms entered
represent the beginning or part of the business name in question. After
clicking �Submit Search,� you will be shown a list of search results
similar to the results returned in response to a business information
search, and you will also be able to click on a �Details� button for
each item to view additional information.
To search for UCC filings, from the Division of Business Services page,
select the option �UCC Search� from the options at the left. You will
then be taken to a search page where you may enter either the name of
the debtor or the file number for which you wish to search. When
searching by the name of the debtor, it is sufficient to enter only the
debtor�s last name. The results will be returned in a list including the
names and file numbers of the results matching your search criteria.
Clicking on the names or ID numbers will allow you to view additional
information, including the file date, lapse date, identity of the
secured party, and a listing of related documents on file with the
Secretary of State.
