In New York, important business records are maintained by the Secretary
of State. Below are a few tips on accessing this information over the
internet.
What Records Are Maintained by the New York Secretary of State?
The New York Secretary of State maintains records of corporations and
other registered businesses that are public record. These records may be
searched online.
Additionally, the New York Secretary of State maintains UCC (Uniform
Commercial Code) filings. These records give notice of a security
interest that a party holds in the collateral of another party.
How Can I Search for Records Maintained by the New York Secretary of
State?
To search for information about New York corporations and other
registered business entities, begin at the Department of State website,
located at
http://www.dos.state.ny.us/ . Then scroll down and select the option
�Search for Corporations or Business Entities� on the left side of the
screen, under the heading �Programs and Services.� This will take you to
the search page from which you can search for business entities.
To search for information about a business entity, begin by entering the
business name in the search window. Directly below the search window is
a drop-down menu marked �Name Type.� In this drop-down menu, select
whether you wish to search all business entity information, or only
active business entities. Next, underneath this drop-down menu you will
find a second drop-down menu marked �Search Type.� In this menu, you can
select whether the business name you entered is the beginning of a
business name, is contained within the business name, or is a partial
business name. Once you have entered all of your search criteria, click
on �Search the Database.�
The search results will be returned in list format, consisting of all of
the business names matching the search criteria. Each business name is a
clickable link and may be clicked to obtain more information about that
business. After clicking on a name, you will be taken to a new page
providing information including the filing date, county, jurisdiction,
entity type, entity status, address and registered agent information.
To search for UCC filing information, begin at the New York Secretary of
State�s website home page and scroll down to select �UCC� under the
heading �Programs and Services.� This will take you to a page entitled
�Uniform Commercial Code (UCC).� Then scroll down again to select the
option �UCC Search� under the heading �General Information.� (Notice
that there are also links to informative pages if you require
clarification about UCC filings or searches.) After clicking on �UCC
Search,� you will be taken to a page bearing information about UCC
searches and a disclaimer. In the middle of the page on the far left in
a blue field are links marked �NYS Standard Debtor Search,� �Filing
Number and Date,� �Other Debtor Name Search Options� and �Secured Party
Name Search.� (These should not be confused with the three green links
of the same name within the text of the page, which will take you to
informative screens describing each kind of search.)
If you wish to search for UCC filings by debtor name, from the UCC
Search page, select the first option, �NYS Standard Debtor Search.� This
will take you to a page where you can input the name of the debtor for
whom you wish to search. You can then select whether you wish to search
for all filings or only unlapsed filings, and also whether you wish to
search for all filings or federal tax liens only. After inputting you
search criteria, click on �Search.�
If you wish to search for a UCC filings by file number, from the UCC
Search page, select �Filing Number/Date Search.� You will be taken to a
page where you may input the filing number and filing year for which you
wish to search.
If you wish to perform a search by debtor but you are uncertain of the
debtor�s name, from the UCC Search page, select �Other Debtor Search
Options.� You will be taken to a page where you may input the name for
which you wish to search, but you can also select whether the name
entered represents the beginning of a name, part of a name, or a base
word.
If you wish to perform a search based upon the secured party, from the
UCC Search page, select �Secured Party Search.� As in the debtor
searches, you will be able to input the name of the individual or entity
for which you wish to search.
