How to Find Business Records in Kansas
Kansas Business Records
Records of incorporation, as well as Uniform Commercial Code filings,
are maintained in Kansas by the Kansas Secretary of State. These records
may be searched either in person or over the internet. Here are a few
tips to access business records in Kansas.
What Records Are Maintained by the Kansas Secretary of State?
When a business incorporates, or forms a corporation, it is required to
file documentation of its formation with the Secretary of State. This is
required because corporations receive separate legal treatment, making
it necessary for Kansas to keep track of which businesses qualify as
corporations.
Additionally, the Kansas Secretary of State maintains UCC (Uniform
Commercial Code) filings. These documents give evidence of a security
interest that one party has in another partys property as collateral
for a loan. In Kansas, these documents may be accessed online but it is
first necessary to obtain a password in order to view the records.
Why Would a Business Not Have Documents On File?
Not all businesses elect to incorporate. If a business has not
incorporated, the Kansas Secretary of State may not have any filed
information about that business. This is particularly common when
individuals own businesses by themselves and operate them as sole
proprietorships. Since sole proprietorships do not receive the same
legal treatment as corporations, sole proprietorships do not need to
file the same documentation as a corporation.
Additionally, businesses often elect to incorporate in a different state
in order to take advantage of laws of that state that may be
advantageous to a business. For instance, it is commonly believed that
the laws of the State of Delaware are quite beneficial to businesses.
For this reason, it should not be immediately assumed that a business is
not incorporated, just because the Kansas Secretary of State does not
possess documentation of such incorporation.
