How to Find Business Records in Idaho
Beginning your Search for Idaho Business Records
In Idaho, the Secretary of State maintains certain essential business
records such as documents pertaining to incorporation, Uniform
Commercial Code forms, and trademark information. This information is a
matter of public record, and may be viewed in person or online.
What Records Are Maintained by the Idaho Secretary of State?
Certain business entities such as corporations, limited liability
companies and limited partnerships, are given certain treatment under
the law that is different from businesses that are not incorporated. For
this reason, it is necessary for the State of Idaho to keep track of
which businesses incorporate, and when. Therefore, the formation of
these corporate entities is documented by the Idaho Secretary of State.
Additionally, UCC, or Uniform Commercial Code, forms are maintained by
the Idaho Secretary of State. These documents memorialize liens that
secured parties have in collateral owned by debtors, in exchange for
value.
Also, some businesses register trademarks with a state registry in
Idaho. These documents are maintained by the Idaho Secretary of State.
It must be remembered, however, that this registry should not be
confused with the national registry maintained by the United States
Patent and Trademark Office.
Why Would a Business Not Have Documents On File?
Sometimes businesses elect not to incorporate. If businesses are not
entitled to separate treatment as a business entity, there may be no
need for filed documentation.
Additionally, it must be remembered that even if a business keeps
offices in Idaho and does business in Idaho, it may have elected to
incorporate in a different state to take advantages of the laws of that
state. If you must search all fifty states to find the state in which a
business has incorporated, a good place to start is the State of
Delaware, since many believe that Delaware�s laws are advantageous for
businesses.
How Can I Search for Records Maintained by the Idaho Secretary of State?
In Idaho, you may view business records either in person or online. If
you wish to view business records in person, the Idaho Secretary of
State�s Office is located at 700 West Jefferson, Boise, Idaho
83720-0080. The Commercial Division, pertaining to business entities and
UCC filings, is located in the basement of the West Wing.
To View Idaho business records online, first visit the Idaho Secretary
of State�s website, located at www.idsos.state.id.us/. From the home
page, you can select the �Business Entities� option. This will take you
to a page where you can select �Business Records Search.�
The �Business Records Search� page permits you to search for businesses
by the name of the entity, the city, the organizational ID or filing
number, the name of the registered agent, the city of the registered
agent, or the date of organization. The results will be returned in a
list that includes the name of each entity, the address, filing number
and status. You can also click on the name of each business to view
additional details, including downloading the filed documents to view
them online.
To search UCC filings, begin at the Secretary of State�s homepage and
click �Uniform Commercial Code.� Although it is not possible to view all
UCC information for free, you can obtain certain information about each
filing without cost. From the Uniform Commercial Code page, click on the
option marked �UCC Status Search.� This will take you to a page where
you can search by debtor name, lien number, or debtor city. The results
will be returned in list form, including lien number, the names of the
debtors and the status of the lien. However, this list does not contain
clickable links and searchers can only obtain additional information by
paying a fee.
To search the state trademark registry (not to be confused with the
national registry), from the Idaho Secretary of State homepage, select
the �Trademarks� option, then click on �Trademark Online Search.� You
may then search by the trademark or keywords, the business name or name
of the trademark owner, filing number or trademark status. It must be
remembered that the results returned from this search are only the
trademarks registered with the State of Idaho and do not reflect
trademarks that may be registered in any other state of with the United
States Patent and Trademark office.
